These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Elaix Vincent Jr, operating through Elaix Brands ("Elaix Brands," "we," "us," or "our"). These Terms govern your access to and use of all software applications, websites, platforms, and services developed, owned, and operated by Elaix Brands.

By accessing or using any Elaix Brands platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Companies, Platforms, and Scope of These Terms

These Terms apply collectively to the following platforms, software applications, and websites (each a "Platform," and collectively, the "Services"):

Zippehr – Human Resources management software
Halo PLM – Product Lifecycle Management software for fashion design and development
Enemy Lines – Fashion apparel e-commerce website and marketplace
Pilot Tv Network – Membership-based streaming network application
Sewlingo – Online fashion designer and client marketplace
Elaix Brands – Parent company and central operating entity

All Platforms were designed, developed, and are exclusively owned by Elaix Vincent Jr, headquartered in New York City, New York, United States.

2. Business Purpose and Intended Use

2.1 Authorized Use Only

All Platforms are intended solely for their stated business purposes:

Zippehr: Used exclusively by companies to manage employees, HR records, and employment documents.
Halo PLM: Used internally by Elaix Brands and its authorized employees for fashion apparel design, development, and lifecycle management.
Enemy Lines: Used as a commercial marketplace to sell fashion apparel designed and developed by Elaix Brands.
Pilot Tv Network: Used exclusively for lawful streaming and entertainment purposes by subscribed members.
Sewlingo: Used as a professional marketplace for fashion designers to showcase work and connect with clients.

Any use outside the intended purpose is strictly prohibited.

3. Eligibility and Authority

You may only use the Services if:

You are at least 18 years of age
You have legal authority to bind a company or organization (if applicable)
You comply with all applicable laws and regulations

Companies are responsible for all actions taken by their employees, contractors, or representatives while using the Services.

4. License and Permission to Use

4.1 Limited License

Elaix Brands grants Users a limited, revocable, non-exclusive, non-transferable license to access and use the Platforms solely as authorized under these Terms.

4.2 Permission Requirement

No Platform, software, or proprietary system may be used, duplicated, modified, licensed, resold, or distributed without express written permission from Elaix Vincent Jr.

Parties interested in:

Licensing
Commercial use
Acquisition
Strategic partnerships

Must submit a request through the contact form on the Elaix Brands website.

5. Prohibited Conduct

You may not:

Copy, reverse engineer, scrape, or replicate any Platform or software
Use the Services to harm, harass, exploit, or defraud individuals
Share system access with unauthorized third parties
Circumvent security features or access restrictions
Use the Services for unlawful, unethical, or malicious purposes
Misuse proprietary data, trade secrets, or internal business information

Violation may result in immediate termination and legal action.

6. Data, Content, and Confidentiality

6.1 User Data

Users retain ownership of content and data they upload where applicable; however, you grant Elaix Brands the right to process such data solely to provide the Services.

6.2 Employee & Business Data (Zippehr)

All employee and HR data must be:

Lawfully obtained
Used solely for internal company purposes
Not shared with unauthorized third parties

Users are solely responsible for lawful collection of employee data, compliance with labor and privacy laws, and maintaining data accuracy.

6.3 Confidential Information

All non-public information related to Elaix Brands' software, systems, operations, designs, workflows, and business strategies constitutes confidential and proprietary information.

For Halo PLM users, this specifically includes:

Design files
Manufacturing processes
Supplier data
Internal development methodologies

6A. Privacy Policy

Information Collected

Elaix Brands may collect:

Account information
Business and employee data
Payment information
Usage analytics

Use of Data

Data is used solely to:

Operate platforms
Improve services
Maintain security
Comply with legal obligations

Data Sharing

Elaix Brands does not sell or rent user data. Data is only shared:

When legally required
With service providers under strict confidentiality

Security

Industry-standard safeguards are used, but no system is 100% secure.

User Rights

Users may request:

Data access
Correction
Deletion (subject to legal retention requirements)

7. Intellectual Property Rights

All intellectual property rights, including but not limited to:

Software code
Platform architecture
UI/UX designs
Trademarks, logos, and brand names
Apparel designs and creative works

Are the exclusive property of Elaix Vincent Jr and Elaix Brands.

No rights are granted except as explicitly stated in these Terms.

8. Memberships, Subscriptions, and Payments

Certain Platforms (including Pilot Tv Network and Enemy Lines) may require subscriptions or purchases.

All fees are non-refundable unless otherwise stated
All sales are final unless stated
Failure to pay may result in suspension or termination
Prices may change at any time

For Pilot Tv Network, membership may be revoked for violations without refund.

8A. Enterprise Licensing & Commercial Use

Licensing Requirement

Any entity seeking to:

License Elaix Brands software
Integrate systems
Purchase technology assets
Use platforms commercially

Must obtain written authorization from Elaix Vincent Jr.

Licensing Process

All inquiries must be submitted via the Elaix Brands website contact form.

No Implied Rights

Use of any platform does not grant ownership or licensing rights.

9. Suspension and Termination

Elaix Brands reserves the right to suspend or terminate access without notice if:

These Terms are violated
The Services are misused
Security or legal risks arise

Upon termination, all licenses immediately cease.

10. Disclaimer of Warranties

All Platforms are provided "AS IS" and "AS AVAILABLE."

Elaix Brands makes no warranties regarding:

Accuracy
Reliability
Availability
Fitness for a particular purpose

Use of the Services is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law:

Elaix Brands shall not be liable for indirect, incidental, or consequential damages
Total liability shall not exceed the amount paid by the User in the twelve (12) months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Elaix Vincent Jr and Elaix Brands from any claims arising from:

Misuse of the Services
Violation of laws
Breach of these Terms

13. DMCA, Copyright & Trademark Enforcement

Copyright Protection

All content, software, designs, videos, and systems are protected under U.S. and international copyright laws.

Trademark Protection

All brand names, logos, and platform titles are trademarks of Elaix Brands.

Enemy Lines designs, logos, and products may not be duplicated, reproduced, or sold without written authorization. No counterfeit or resale authorization is granted.

Elaix Brands aggressively enforces intellectual property rights and may pursue:

14. Investor & Due Diligence Statement

All platforms are solely owned by Elaix Vincent Jr
No open-source dependency ownership claims
No third-party IP licensing obligations unless disclosed
Platforms are modular, scalable, and independently licensable
Centralized ownership under Elaix Brands

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.

16. Changes to These Terms

Elaix Brands may update these Terms at any time. Continued use after updates constitutes acceptance.

17. Entire Agreement

These Terms constitute the entire agreement between you and Elaix Brands regarding use of the Platforms.
